LICENSE AGREEMENT
Lastview Limited (the "Licensor") is willing to grant the user (the "The Licensee") the following license to use the Prefect Software (the "Software") according to this agreement only on the condition that The Licensee accepts all the terms contained in this agreement.
By purchasing this product, the Licensee acknowledges that the Licensee has read this Agreement, understands it, and agrees to be bound by it. If the Licensee does not agree to any of the terms below, the Licensor is unwilling to license the software to The Licensee, and The Licensee should not proceed to purchase.
1. LICENSE.
Subject to the terms of this Agreement, the Licensor hereby grants to the Licensee a non-exclusive, limited, non-transferable license to use the Software in machine-readable form on a single computer.
The Licence is dependent upon the payment by the Licensee of the fee. The Licensee acknowledges that if The Licensee fails to pay the fee, this Agreement will terminate.
The Licence is restricted to the use of the Software for positive purposes, more particularly defined as being the monitoring of external communication with third parties and minors or vulnerable people, any other use is not licensed.
2. RESTRICTIONS
The Licensor and its suppliers retain all right, title and interest in and to the Software, and any rights not expressly granted to The Licensee herein are reserved by The Licensor and its suppliers.
The Licensee may not copy, distribute, sublicense, rent, lease, loan, modify or create derivative works, adapt, translate, sublicense or transfer the Software. The Licensee acknowledges that the Software and its structure, organisation, and source code constitute valuable trade secrets of The Licensor and its suppliers.
The Licensee may not disable any deactivation mechanism embedded in or included with the Software. The Licensee may not reverse engineer, disassemble, or decompile the Software except to the extent that this restriction is expressly prohibited by applicable law. The Licensee may not remove from any part of the Software any notice of proprietary rights or any disclaimer.
3. WARRANTY.
The Licensor warrants that the Software works. This warranty does not cover damage caused by improper use or neglect. Where liability is accepted the Licensee's sole and exclusive remedy under this warranty shall be for the Licensor to replace the defective media. Such a warranty does not affect the Lincensee's statutory rights.
The Licensee expressly acknowledges and agrees that, aside from the warranty contained in this section, the Software is provided "AS IS" without any warranties or conditions whatsoever.
Without limiting the foregoing, the Licensee acknowledges that no software program, including the Software, will be 100% effective at screening out offensive or unwanted content, and that The Licensor does not make any warranty that the Software will screen out all offensive or unwanted content.
4. LIMITATION OF LIABILITY.
Regardless of whether any remedy set forth herein fails of its essential purpose or otherwise, in no event shall the Licensor or its suppliers be liable to the Licensee or any third party for:
(i) loss, injury or damage caused in whole or part by use of, or failures, delays or interruptions of, the software, or
(ii) any indirect, consequential, incidental or special damages, including but not limited to any lost profits arising out of or relating to the use or inability to use the software even if advised of the possibility of such damages.
(iii) the Licensor's and its' suppliers' total cumulative liability in connection with this agreement and the Software, whether in contract or tort or otherwise, will not exceed the fee paid by the Licensee for the use of the software.
5. TERMINATION
This Agreement shall terminate automatically upon:
(i) The Licensee's failure to pay the fee, or
(ii) The Licensee's breach of any term of this Agreement
Upon termination of this Agreement for any reason, all license rights granted in this Agreement will immediately cease to exist, and the Licensee shall destroy its copy of the Software. Sections 2, 3 and 4 will survive any termination of this Agreement.
6. GENERAL
This Agreement is governed and interpreted in accordance with the laws of England and Wales.
Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section.
The waiver of a breach of any provision of this Agreement will not operate or be interpreted as a waiver of any other or subsequent breach.
This Agreement is the entire and exclusive agreement, and supersedes all prior agreements (whether written or oral) and other communications, between the Licensor and the Licensee with respect to the Software.

If you have received this message in error, please notify the sender by reply email and delete the material from your computer.
